1. Parties and Acceptance
These Terms form a legal agreement between you and 11259164 Canada Inc., operating as Nana ("Nana," "we," "us," or "our").
By accessing or using Nana, you agree to these Terms. If you do not agree, do not use the service.
2. Eligibility
You must be at least 13 years old, or the minimum age required by the laws where you live to use online services, to use Nana.
If you are using Nana on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Model
Nana may allow you to start with an anonymous account and later upgrade to a signed-in account (for example, email OTP, Apple, or Google sign-in).
- You are responsible for activity under your account.
- You must provide accurate account information where requested.
- You must use credentials and identity providers lawfully.
4. Service Description and Changes
Nana helps you import recipes from links and photos, organize recipes and cookbooks, and sync content across devices.
We may add, remove, or modify features at any time, including free and paid features, to improve the service, maintain security, or comply with law.
5. User Content and License
You retain ownership of content you submit or create in Nana, including recipe entries, notes, images, and cookbook metadata ("User Content").
You grant Nana a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content as needed to operate, maintain, and improve the service.
You are responsible for ensuring you have the rights to upload and use User Content.
6. Acceptable Use
You agree not to:
- use Nana for unlawful activity or to violate another person's rights;
- interfere with, disrupt, or attempt to access systems or data without authorization;
- upload malicious code or abuse import functionality;
- infringe copyrights, trademarks, or other intellectual property rights.
7. Third-Party Services
Nana uses third-party services and SDKs, including Supabase (authentication, sync, storage, realtime), RevenueCat (subscription infrastructure), Mixpanel (analytics), and Apple and Google identity/sign-in services.
Your use of third-party platforms may also be subject to their separate terms and privacy policies.
8. Subscriptions and Billing
Nana may offer paid subscriptions (for example, Nana+). Purchases made through mobile app stores are billed and managed by the applicable platform (such as Apple App Store or Google Play), not directly by Nana.
- Subscriptions may auto-renew unless canceled.
- Renewal, cancellation, and refund rules are controlled by the app store where you purchased.
- We may change subscription offerings and prices as permitted by law and platform rules.
9. Intellectual Property
The Nana service, including software, visual design, trademarks, and branding, is owned by 11259164 Canada Inc. or its licensors and is protected by applicable intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
10. Disclaimers
Nana is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted availability, error- free operation, or perfect extraction/import accuracy.
11. Limitation of Liability
To the maximum extent permitted by law, Nana and its officers, directors, employees, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, goodwill, or business opportunities.
Nana's aggregate liability for claims related to the service will not exceed the greater of CAD $50 or the amount you paid to Nana for the service in the 12 months before the event giving rise to liability.
12. Indemnity
You agree to defend, indemnify, and hold harmless 11259164 Canada Inc. and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your use of Nana;
- your User Content;
- your violation of these Terms or applicable law.
13. Governing Law and Venue
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules.
You and Nana agree that the courts located in Ontario, Canada have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised version and update the "Last updated" date.
Your continued use of Nana after revised Terms become effective means you accept the updated Terms.
